Indonesia’s 2020 Company Registration Procedure’
1. Check and Book Name by Notary
At this stage, you must provide several name options for the notary to check. The notary will check the AHU (General Legal Administration) system to confirm whether the proposed name can be used or has been used by another company.

The name chosen must be in accordance with the guidelines for selecting the name PT

* Name is just an example. If there is a company name that is the same as the name above, then it is a coincidence.

2. Preparation of Draft Deeds by Notaries

After the name is declared to be used, the notary will order the name of the company and make a draft company deed according to the company data agreed by the management and shareholders.

    Name of PT

Officially determined company name. Company names in PT can only be used by the company and cannot be used by other parties.

    Place and Position

Company domicile address. Usually, the domicile of the company that is listed is the city where the domicile is located. The full address will be spelled out by a notary in the AHU system at the Ministry of Law and Human Rights.

    Purpose and Objectives (Line of Business)

Business fields run by the company. Format of Business Field is required to comply with the KBLI format (Indonesian Standard Business Field Classification).

How much is the authorized and paid-up capital of the company, who owns the shares, and what is the percentage of ownership of each shareholder.

    Management Structure of the Company

Who is the management of the company, the position of Director, and Commissioner?  if there is more than one Director and Commissioner, then one of the Directors and Commissioners will be the President Director and President Commissioner

3. Finalization and Signature of Deed before a Notary
After the Draft Deed is deemed in accordance with the request, the Deed will be signed by the company's shareholders before a notary. Each shareholder is required to attend to sign the Deed. If a shareholder is unable to attend, the shareholder may authorize in writing (Power of Attorney) to the other party to replace the shareholder's presence.

Managers such as Directors and Commissioners are not required to participate and are not involved in the signature process unless the manager also serves as a shareholder.

After the signature is complete, the notary will make a copy of the Deed and register the Deed at the Ministry of Law and Human Rights. You will get a Copy Deed along with a Kemenkumham Decree (SK Kemenkumham) which validates the making of the Deed.

In addition, the Notary will also simultaneously register your new Company's NPWP with the relevant Tax Office based on the Deed data that has been entered by the notary.

4. Arrangement and collection of company NPWP and SKT
After the Company's NPWP is registered, the NPWP (Taxpayer Identification Number) and SKT (Registered Certificate) Cards will be issued by the KPP (Tax Service Office) with the requirements that all the required documents have been completed.

Usually, KPP will check whether the data of the person in charge of the NPWP of the company is correct, the status of the NPWP has been updated and whether there are tax arrears on the personal NPWP of each management and shareholder.

Making NPWP can be disrupted if there is a lack of personal data and tax reports that have not been reported. Therefore, you should ensure that your annual tax return and personal data are properly reported.

5. Registration of NIB
NIB or Business Identification Number is an identification number for a business actor. NIB serves to replace TDP, API, NIK, and RPTKA if needed.

If you already have company legality but don't have an NIB, then you are required to create an NIB to complete your company's legality (Check here to understand more about NIB and OSS systems).

NIB registration is done through the OSS (Online Single Submission) system. Filing for an API is not mandatory and only needs to be submitted when needed.

If it is not registered immediately, the API can still be registered after the NIB has been issued when the business actor needs the permit.

Selection of Business Fields in NIB is carried out by selecting the appropriate KBLI Business Fields. The KBLI that is entered must have been included in the Deed first. Please check here to find a KBLI that matches the type of business you are running.

6. Submission of business licenses and commercial licenses
Just like the NIB, a business license is issued after the NIB has been issued.

The business license replaces the Trade Business Permit (SIUP) which was previously one of the mandatory licensing documents for companies that were previously issued by PTSP (One-Stop Integrated Service).

Business permits are submitted first before commercial licenses. Commercial license functions for business actors or business entities whose operational activities require special permits. An example is a company that produces food or medicine.
